Data Services Terms of Use and End User License Agreement (EULA)

PLEASE READ THESE TERMS OF USE AND END USER LICENSE AGREEMENT (“TERMS”) CAREFULLY. BY ACCESSING, DOWNLOADING, RECEIVING, INTEGRATING, OR OTHERWISE USING THE DATA OR SERVICES PROVIDED BY MWW GLOBAL BUSINESS CONSULTING SOLUTIONS d/b/a Metas Worldwide (“MWW,” “WE,” “US,” “OUR”) THROUGH ANY THIRD-PARTY MARKETPLACE, DATA SHARING PLATFORM, OR ASSOCIATED ENVIRONMENT WHERE OUR DATA IS MADE AVAILABLE (COLLECTIVELY, THE “PLATFORM”), YOU OR THE ENTITY YOU REPRESENT (“LICENSEE,” “YOU,” “YOUR”) AGREE TO BE LEGALLY BOUND BY THESE TERMS. THESE TERMS CONSTITUTE A BINDING LEGAL AGREEMENT BETWEEN YOU AND MWW.

IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT ACCESS, USE, OR INTEGRATE OUR DATA OR SERVICES.
IF YOU ARE ENTERING INTO THESE TERMS ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE LEGAL AUTHORITY TO BIND SUCH ENTITY TO THESE TERMS, IN WHICH CASE “YOU” OR “YOUR” SHALL REFER TO SUCH ENTITY.  


1. Definitions
“Data”: Refers to the datasets, information, records, compilations, insights, and any associated metadata provided by MWW through the Platform, including but not limited to contact information, company details, job titles, and email addresses, which has undergone our verification process.

“Services”: Encompasses the provision of the Data via the Platform, including access through designated secure sharing mechanisms, any related support (if offered), documentation, and updates provided by MWW.

“Platform”: Refers to the third-party marketplace, data exchange, cloud environment, or similar infrastructure through which MWW makes the Data and Services available to Licensees.

“Authorized User(s)”: Means Your employees, agents, or independent contractors who are authorized by You to access and use the Services and Data solely for Your Internal Business Purposes and who are bound by confidentiality and use restrictions no less protective than those set forth in these Terms.

“Internal Business Purposes”: Means the use of the Data by Authorized Users within Your organization for internal analysis, research, reporting, business intelligence, decision-making, planning, and operational activities. It expressly excludes any form of resale, redistribution, sublicensing, external publishing, or use for providing services to third parties, unless explicitly permitted in a separate written agreement with MWW.

“Privacy Policy”: Refers to MWW’s official Privacy Policy, available at https://metasworldwide.com/privacy-policy/, which describes our data collection, use, and protection practices, and which is incorporated by reference into these Terms.

“Applicable Laws”: Includes all relevant local, state, national, and international laws, regulations, statutes, and ordinances pertaining to data privacy, data protection, security, intellectual property, and the use of the Services and Data, including but not limited to the General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA), and others as applicable.  

“Secure Sharing Mechanism”: Refers to the specific protocol or method designated by MWW or the Platform provider for securely accessing and receiving the Data (e.g., specific APIs, secure data sharing protocols, direct connections).

2. Eligibility and Account
You must be at least 18 years old or the legal age of majority in your jurisdiction to use the Services.
You represent and warrant that you have the full right, power, and authority to enter into and perform under these Terms.
You agree to provide accurate, current, and complete information as may be required for accessing the Services (e.g., during registration on the Platform) and to maintain and promptly update this information.

You are responsible for maintaining the confidentiality of any access credentials associated with Your use of the Services via the Platform and for all activities that occur under Your account or using Your credentials. You agree to notify MWW immediately of any unauthorized use.

3. License Grant and Restrictions
License Grant: Subject to Your compliance with these Terms and any applicable payment obligations, MWW hereby grants You a limited, non-exclusive, non-transferable, non-sublicensable, revocable license during the term of Your subscription or access period to: Access the Data securely via the specified Secure Sharing Mechanism(s) available through the Platform.

Use, query, process, and analyze the Data solely for Your Internal Business Purposes.
Create derivative works based on the Data (e.g., reports, analyses, models) solely for Your Internal Business Purposes. Ownership of the underlying Data within such derivatives remains with MWW.

Restrictions: You shall not, and shall ensure Authorized Users do not: Resell, sublicense, lease, rent, distribute, publish, publicly display, or otherwise make the Data or Services available to any third party, except as expressly permitted herein for Authorized Users.

Use the Data or Services for any unlawful, fraudulent, harmful, unethical, or discriminatory purpose, or in violation of any Applicable Laws.

Use the Data for purposes of sending unsolicited communications (spam) or in any manner that violates anti-spam laws (e.g., CAN-SPAM).

Reverse engineer, decompile, disassemble, or attempt to discover the source code, underlying structure, or algorithms of the Services or the Platform’s delivery mechanisms (except where prohibited by law).
Modify, obscure, or remove any copyright, trademark, or other proprietary rights notices contained in or relating to the Data or Services.

Use the Data or Services to build a competitive product or service, or benchmark the Services or Data against competing offerings.
Attempt to circumvent any security measures or access controls implemented by MWW or the Platform provider.
Use the Data in any way that infringes upon the intellectual property or privacy rights of MWW or any third party.

4. Data Characteristics, Delivery, and Security
Data Verification: MWW employs processes designed to verify the Data (e.g., human verification of contact names, titles, company details, email addresses). While we strive for high accuracy and timeliness, we do not guarantee that the Data will be error-free, complete, or perfectly current at all times. Data is provided “as is.”

Delivery: Data is made available through the Platform, utilizing a designated Secure Sharing Mechanism. You are responsible for establishing and maintaining the necessary infrastructure and configurations on Your end to receive and process Data via the specified mechanism. Details regarding the specific Secure Sharing Mechanism will be provided through the Platform or accompanying documentation.

Compliance Focus: The Data provided is intended for use in compliance with Applicable Laws, including data protection regulations like GDPR and CCPA/CPRA. However, compliance is a shared responsibility. You are solely responsible for ensuring Your use of the Data complies with all Applicable Laws relevant to Your specific processing activities.

Security: MWW implements reasonable technical and organizational measures to protect the Data during transmission via the Platform and the designated Secure Sharing Mechanism. You are responsible for implementing appropriate security measures within Your own environment to protect the Data once accessed and to secure Your access credentials and systems connected to the Platform.

5. Licensee Obligations and Responsibilities
Compliance with Laws: You shall use the Data and Services strictly in accordance with all Applicable Laws and these Terms. This includes, without limitation, laws related to data privacy, data security, marketing, and intellectual property.
Authorized Users: You are responsible for ensuring that all Authorized Users comply with these Terms. Any breach of these Terms by an Authorized User will be deemed a breach by You.

Data Handling: You shall implement appropriate technical and organizational measures to protect the confidentiality, integrity, and availability of the Data within Your environment.  

Notification: You agree to promptly notify MWW in writing if You become aware of any actual or suspected unauthorized use, access, or disclosure of the Data or Services, or any breach of these Terms.
Ethical Use: You agree not to use the Data in any manner that is harassing, defamatory, libelous, threatening, obscene, or that could be deemed unethical or harmful.

6. Data Protection and Privacy
MWW Privacy Policy: Your use of the Services is subject to our Privacy Policy https://metasworldwide.com/privacy-policy/. By using the Services, you consent to the collection, use, and disclosure of information as described therein.
Licensee Responsibility: When You access and process the Data, particularly if it contains personal data, You may act as a data controller or processor under Applicable Laws. You are solely responsible for: Determining the legal basis for Your processing of the Data.

Complying with all data controller/processor obligations under Applicable Laws (e.g., providing notices, handling data subject requests, conducting data protection impact assessments if required).
Ensuring Your use of the Data respects the privacy rights of individuals.

No Sensitive Data: You agree not to use the Services to store, process, or transmit Sensitive Personal Information (e.g., government-issued identification numbers, financial account numbers, health information, biometric data) unless expressly permitted and handled in accordance with a separate, specific agreement and Applicable Laws.

7. Intellectual Property Rights
Ownership: MWW and its licensors retain all right, title, and interest, including all intellectual property rights (such as copyrights, trademarks, patents, trade secrets, and database rights), in and to the Services, the Data, our verification methodologies, and any underlying technology or documentation. The license granted herein does not constitute a sale of the Data or Services.

Feedback: If You provide any suggestions, ideas, feedback, or recommendations regarding the Services or Data (“Feedback”), MWW is free to use, implement, and incorporate such Feedback for any purpose without obligation or compensation to You.

No Implied Licenses: No licenses or rights are granted to You by implication or otherwise, except for the licenses expressly granted in these Terms.

8. Fees and Payment (If Applicable)
Access to and use of certain Data or Services may be subject to fees as specified on the Platform listing or in a separate ordering document or agreement between You and MWW (“Ordering Document”).

If fees apply, You agree to pay all applicable fees in accordance with the terms set forth in the Platform listing or Ordering Document. Payment terms, including frequency, methods, and currency, will be specified therein.
Fees are generally non-refundable except as required by law or as explicitly stated otherwise. Applicable taxes are Your responsibility unless otherwise stated.

9. Confidentiality
“Confidential Information” means any non-public information disclosed by one party (“Discloser”) to the other (“Recipient”), whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. MWW’s Confidential Information includes, but is not limited to, the non-public aspects of the Services, Data structure, pricing, and business practices. Your Confidential Information may include non-public information about Your business shared in the context of support requests, if applicable.  

The Recipient agrees to: (i) use the Confidential Information solely for the purpose of exercising its rights or performing its obligations under these Terms; (ii) maintain the Confidential Information in strict confidence using the same degree of care it uses for its own confidential information (but no less than reasonable care); and (iii) not disclose the Confidential Information to any third party except to employees, agents, or contractors who need to know and are bound by confidentiality obligations at least as restrictive as those herein.  
These obligations do not apply to information that: (a) is or becomes publicly known through no fault of the Recipient; (b) was known to the Recipient prior to disclosure by the Discloser; (c) is rightfully received from a third party without breach of any confidentiality obligation; or (d) is independently developed by the Recipient without use of or reference to the Discloser’s Confidential Information. The Recipient may disclose Confidential Information if required by law or court order, provided reasonable prior notice is given to the Discloser (if legally permissible).  

10. Warranties and Disclaimers
MWW PROVIDES THE SERVICES AND DATA ON AN “AS IS” AND “AS AVAILABLE” BASIS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MWW EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, COMPLETENESS, AND NON-INFRINGEMENT.  

MWW DOES NOT WARRANT THAT: (I) THE SERVICES OR DATA WILL MEET YOUR REQUIREMENTS; (II) THE OPERATION OF THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE; (III) THE DATA WILL BE ACCURATE, COMPLETE, CURRENT, OR RELIABLE; OR (IV) ANY ERRORS IN THE SERVICES OR DATA WILL BE CORRECTED.

WHILE MWW EMPLOYS VERIFICATION PROCESSES, YOU ACKNOWLEDGE THAT DATA, ESPECIALLY CONTACT AND BUSINESS INFORMATION, CHANGES FREQUENTLY, AND MWW CANNOT GUARANTEE PERFECT ACCURACY OR TIMELINESS. YOUR USE OF THE DATA IS AT YOUR SOLE RISK AND DISCRETION.

11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MWW OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF MWW HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF OR RELATING TO: YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE SERVICES OR DATA;

THE COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES;
ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OR RELATED TO THE SERVICES OR PLATFORM;
UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
ANY RELIANCE PLACED BY YOU ON THE COMPLETENESS, ACCURACY, OR EXISTENCE OF ANY DATA; OR  
ANY OTHER MATTER RELATING TO THE SERVICES OR DATA.
 

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MWW’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES OR DATA, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF (I) THE TOTAL AMOUNT OF FEES PAID BY YOU TO MWW FOR THE SPECIFIC SERVICE OR DATA GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (II) ONE HUNDRED U.S. DOLLARS ($100.00).

THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION SHALL APPLY REGARDLESS OF THE FORM OF ACTION OR THE LEGAL THEORY UPON WHICH A CLAIM IS BASED, AND SHALL SURVIVE FAILURE OF ANY ESSENTIAL PURPOSE.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. Accordingly, some of the above limitations may not apply to You.  

12. Indemnification
You agree to defend, indemnify, and hold harmless MWW, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, demands, suits, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: Your access to or use of the Services or Data;  
Your breach of any provision of these Terms;
Your violation of any Applicable Laws, including but not limited to data protection and privacy laws;
Your infringement or violation of any intellectual property, privacy, or other right of any third party;
Any dispute between You and any third party related to Your use of the Data; or
Any content or information You process or handle using the Services.
 
MWW reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by You, in which event You will cooperate with MWW in asserting any available defenses.  

13. Term and Termination
Term: These Terms commence on the date You first access or use the Services and continue until Your subscription or access period expires, or until terminated earlier as provided herein.

Termination by MWW: We may suspend or terminate Your access to the Services and terminate these Terms, in whole or in part, immediately upon written notice (email sufficient) if: You materially breach any provision of these Terms and fail to cure such breach within thirty (30) days of receiving notice (or immediately for breaches of license restrictions, confidentiality, or intellectual property provisions).

You fail to pay applicable fees when due (if fees apply).
You become insolvent, file for bankruptcy, or undergo a similar proceeding.
Your continued use of the Services poses a security risk, could subject us or the Platform provider to liability, or violates Applicable Laws.
We are required to do so by law or regulation, or due to a change in our relationship with the Platform provider or other key partners.

We decide to discontinue the specific Service or Data offering, subject to reasonable notice where feasible.
Termination by You: You may terminate these Terms by ceasing all use of the Services and Data and notifying MWW, provided that any applicable subscription terms or payment obligations may still apply.

Effect of Termination: Upon termination or expiration of these Terms for any reason: All licenses granted hereunder shall immediately terminate.

You must immediately cease all access to and use of the Services and Data.
You must permanently delete or destroy all copies of the Data in Your possession or control and, upon MWW’s request, provide written certification of such deletion/destruction.

Any outstanding payment obligations will become immediately due.

Survival: The following Sections shall survive any termination or expiration of these Terms: 1 (Definitions), 3 (Restrictions, excluding license grant), 5 (Licensee Obligations), 6 (Data Protection), 7 (Intellectual Property), 8 (Fees and Payment, for accrued obligations), 9 (Confidentiality), 10 (Warranties and Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), 13 (Effect of Termination, Survival), 14 (Governing Law and Dispute Resolution), 15 (General Provisions), and 16 (Contact Information).

14. Modifications to Terms and Services
Modification of Terms: MWW reserves the right to modify these Terms at any time in its sole discretion. We will notify You of material changes by posting the revised Terms on our website https://metasworldwide.com/terms-and-conditions-2/ or through the Platform, or by sending an email to the address associated with Your account. Changes will become effective immediately upon posting or as otherwise stated in the notice. Your continued use of the Services after the effective date of the revised Terms constitutes Your acceptance of the changes. You are responsible for regularly reviewing these Terms.  

Modification of Services: MWW reserves the right to modify, enhance, suspend, or discontinue any aspect of the Services or Data offerings, temporarily or permanently, at any time with or without notice. You agree that MWW shall not be liable to You or to any third party for any modification, suspension, or discontinuance of the Services.

15. Governing Law and Dispute Resolution
Governing Law: These Terms and any disputes arising out of or related hereto shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.  

Venue: Any legal suit, action, or proceeding arising out of or related to these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of California, in each case located in the appropriate county within California (e.g., Santa Clara County, San Francisco County – adjust as appropriate for your legal counsel’s advice). You and MWW irrevocably submit to the exclusive jurisdiction of such courts in any such suit, action, or proceeding.

16. General Provisions
Entire Agreement: These Terms, together with our Privacy Policy and any applicable Ordering Document or Platform listing terms, constitute the entire agreement between You and MWW concerning the subject matter hereof and supersede all prior or contemporaneous agreements, understandings, representations, and warranties, whether written or oral.  

Severability: If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original intent, or severed if modification is not possible, and the remaining provisions of these Terms shall remain in full force and effect.  

Waiver: No waiver by MWW of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of MWW to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.  

Assignment: You may not assign or transfer these Terms or any rights or obligations hereunder, whether by operation of law or otherwise, without the prior written consent of MWW. MWW may assign these Terms, in whole or in part, without restriction. Any attempted assignment in violation of this section shall be null and void.  

Force Majeure: Neither party shall be liable for any failure or delay in performance under these Terms (except for payment obligations) due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, epidemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials (“Force Majeure Event”).  


Notices: All notices, requests, consents, claims, demands, waivers, and other communications hereunder shall be in writing. Notices to MWW should be sent to the contact information below. Notices to You may be sent to the email address associated with Your account or through the Platform’s notification system.  

Relationship of Parties: The relationship between You and MWW is that of independent contractors. Nothing contained in these Terms shall be construed as creating any agency, partnership, joint venture, or other form of joint enterprise, employment, or fiduciary relationship between the parties.  

Export Compliance: You agree to comply with all applicable U.S. and international export control laws and regulations in Your use of the Services and Data.

BY ACCESSING, DOWNLOADING, INTEGRATING, OR OTHERWISE USING THE SERVICES OR DATA PROVIDED BY MWW THROUGH THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF USE AND END USER LICENSE AGREEMENT.
